Seller Terms and Conditions

These Seller Terms and Conditions (“Terms”) govern your access and use of the seller services offered by Sapi Trading (“we,” “our,” or “us”) through Nsmah.ae (the “Platform”). By registering as a seller and listing products on Nsmah.ae, you (“Seller,” “you”) agree to be bound by these Terms.

1. Eligibility

Be legally registered to do business in your jurisdiction.
Provide valid identification and business registration documentation.
Maintain a valid UAE bank account for disbursements.

2. Seller Account Registration

Create an account with accurate business and banking information.
Applications may be approved or rejected at our sole discretion.

3. Product Listings

Products must comply with UAE laws and Platform policies.
Listings must be accurate (price, inventory, specs, images).
Counterfeit or prohibited items are strictly forbidden.

4. Pricing and Payment

Sellers set their own prices; we may recommend competitive pricing.
Nsmah.ae deducts a referral fee per order (see section 11) and transfers the balance on a biweekly/monthly basis.

5. Shipping and Fulfillment

Fulfill orders independently or via approved logistics partners.
Ship all orders within the stated handling time.
Sellers are charged 10 AED for items up to 5kg and 1 AED on additional kg.

6. Returns and Refunds

Sellers must honor our customer-friendly return policy.
Returned goods must be accepted unless they violate return standards (damaged, used, etc.).

7. Cancellation Charges

A 5% penalty fee applies to each confirmed order canceled without valid justification (e.g., stock issues, pricing error, delay).
Fee is based on total order value and deducted from balance or future payouts.
Repeated cancellations may lead to suspension or delisting.

8. Compliance and Conduct

Comply with all UAE laws (VAT, consumer rights, e-commerce).
Misleading listings, review manipulation, or misuse may result in suspension or termination.

9. Taxes

Sellers are responsible for reporting and remitting applicable taxes (e.g., VAT).
Nsmah.ae may assist in VAT collection but is not liable for misreporting.

10. Termination

Either party may terminate with 14 days’ notice.
We may suspend or remove a seller without notice for fraud, repeated violations, or legal issues.

11. Limitation of Liability

Sapi Trading and Nsmah.ae are not liable for lost profits, lost data, or indirect damages from platform use.

12. Governing Law

These Terms are governed by UAE law. Disputes fall under UAE court jurisdiction.
